Section I: Acceptance of Contract Terms
The material provided on this CD-ROM is protected by law, including, but not limited to, United States Copyright Law and international treaties.

Section II: Copyright
(A) The copyright in all material (software and content) provided on the CD-ROM is held by, DigiScript, Inc. or the original holder. Use of the material inconsistent with the terms and conditions set forth is prohibited and considered an infringement of the copyrights the respective holder. Permission is granted to display materials on this CD-ROM for use consistent with the stated purpose of the CD-ROM, provided you do not modify the materials and that you retain all copyright and other proprietary notices contained in the materials. This permission terminates automatically if you breach any of these terms or conditions. Upon termination, you must immediately destroy any downloaded and printed materials. Any unauthorized use of material contained on this CD-ROM may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
(B) The CD-ROM contains copyrighted material, trademarks and other proprietary information including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire content of the CD-ROM is copyrighted as a collective work under the United States copyright laws. DigiScript owns a copyright of the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. Each third-party content provider owns the copyright in content original to it. No User may modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content of the CD-ROM, in whole or in part. Except as otherwise expressly permitted under copyright law, no copying, redistribution, publication or commercial exploitation of downloaded material from the CD-ROM will be permitted without the express-written permission of DigiScript and any other copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark, legend or copyright notice shall be made. Each User acknowledges that he or she does not acquire any ownership rights by downloading copyrighted material.
(C) No material protected by copyright, trademark or other proprietary right shall be uploaded, posted or otherwise made available by the User without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with the User. The User shall be solely liable for any damages resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from any uploading, posting or submission.

Section III: Trademark
The trademarks, service marks, and logos (the "Trademarks") used and displayed on this CD-ROM are the registered and unregistered Trademarks of the owner(s). Nothing on this CD-ROM should be construed as granting, by implication, estoppel, or otherwise any license or right to use any Trademark displayed on the CD-ROM, without the express, prior, written permission of the owner(s). The name of DigiScript, Inc., ePoster, eLecture, Point, Click & Learn or the accompanying logos may not be used in any way, including in advertising or publicity pertaining to distribution of materials on this CD-ROM, without express, prior, written permission. Likewise, the use of the DigiScript logos as a "hot" link to any DigiScript site is prohibited without express, prior, written consent.

Section IV: Warranty Disclaimer
The materials on this CD-ROM are provided "as is" without warranties of any kind either express or implied. To the fullest extent possible pursuant to the applicable law, DigiScript and our Partners disclaim all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or other violation of rights. Neither DigiScript nor our Partners warrant or make any representations regarding the use, validity, accuracy, or reliability of, or the results of the use of, or otherwise respecting, the materials on this CD-ROM.

Section V: Limitation of Liability
Under no circumstances, including, but not limited to, negligence, shall DigiScript or our Partners be liable for any direct, indirect, special, incidental, or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, this CD-ROM, even if, DigiScript or a DigiScript authorized representative has been advised of the possibility of such damages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Section VI: Choice of Law
As it relates to possible claims involving DigiScript, this Agreement is entered into in the State of Tennessee and shall be governed by the laws thereof, without regard to its conflict of laws provisions. All parties agree that the jurisdiction and venue for any litigation or arbitration that may arise as a result of a dispute concerning this Agreement is Franklin, Williamson County, Tennessee. Accordingly, all parties agree to submit to said jurisdiction.
